Membership terms and conditions
I. Description and Acceptance of Terms
1. When a member completes the membership registration process of NEXCOM International Co., Ltd. (hereinafter referred to as "the Website") or begins using the Website's services, it signifies that the member has read and agreed to abide by all the contents of the Website's Terms of Service.
2. NEXCOM International Co., Ltd. reserves the right to modify or amend the contents of these Terms of Service at any time. Such modifications or amendments will be published on the Website, and NEXCOM International Co., Ltd. will not individually notify members. Members are advised to regularly review such modifications or amendments. Continued use of the Website's services after any modification or amendment shall be deemed as the member's understanding and acceptance of such changes.
3. If a member does not agree with the aforementioned revisions or updates to the terms, or does not accept any provision of these Terms of Service, the member shall immediately cease using the Website's services. The rights and obligations arising from the member's use of the Website's services may be expressed in the form of electronic documents.
II. Member Registration
Members agree to the following:

In accordance with the prompts of the Website's registration process, members shall provide accurate and up-to-date personal information and shall not register as a member under the name of a third party. Each member may only register and log in with one account and may not register multiple accounts.
2. Members shall update their personal information as necessary to ensure its accuracy and to receive the best services from the Website.
3. If a member provides any inaccurate or false information, fails to provide information as instructed, lacks necessary information, or registers multiple accounts, NEXCOM International Co., Ltd. reserves the right, without prior notice, to suspend or terminate the member's account and refuse the member’s use of the Website's services.
III. NEXCOM International Co., Ltd. Personal Data Protection Statement
Personal data obtained from member registration, participation in activities, or transactions shall be protected and regulated in accordance with the NEXCOM International Co., Ltd. "Personal Data Protection Statement" and the Personal Data Protection Act.
IV. Member Account and Password
1. Upon registering as a member of the Website, a specific account and password will be established as the member's identity for accessing the Website. Maintaining the security of the account and password is the member’s responsibility. Any use of the account and password consistent with the login credentials, whether entered by the member personally or not, shall be deemed as use by the member, and the member shall bear full responsibility for all actions conducted using said account and password.
2. Member Usage Notices:
2.1 In the event that a member's account or password is stolen or any security issues arise, the member shall immediately notify NEXCOM International Co., Ltd..
2.2 Members shall log out of their account after each use of the service. If sharing a computer with others or using a public computer, members shall also close the browser window upon leaving.
2.3 The member’s account, password, and associated rights are for the exclusive use and benefit of the member and may not be lent, transferred, or shared with others.
2.4 NEXCOM International Co., Ltd. shall not be liable for any damages resulting from the theft, misuse, or other circumstances where NEXCOM International Co., Ltd. cannot determine whether the account is being used by the member personally.
2.5 If NEXCOM International Co., Ltd. becomes aware that a member’s account or password has been misused by others, it will immediately suspend the use of that account (including the processing of transactions associated with that account).
V. Obligations of Members
Members agree not to use the Website's services for any illegal purposes or in any illegal manner and undertake to comply with the relevant laws of the Taiwan and all international practices governing the use of the Internet. Members located outside the Taiwan also agree to comply with the laws of their respective countries or regions. Members agree and warrant not to use the Website's services to engage in activities that infringe upon the rights of others or violate the law, including but not limited to:
1. Publishing or transmitting any false, defamatory, insulting, indecent, obscene, threatening, offensive, disruptive to public order or morals, or otherwise illegal text, images, or files in any form.
2. Posting, transmitting, or sending spam, illegal content, or messages and advertisements not permitted by NEXCOM International Co., Ltd.; damaging the reputation, privacy, trade secrets, intellectual property rights (trademarks, copyrights, patents), or other rights of NEXCOM International Co., Ltd. or others.
3. Breaching confidentiality obligations imposed by law or contract.
4. Using the Website's services under someone else's name.
5. Transmitting or distributing computer viruses, backdoor programs, or anything that affects the normal operation of the Website or other users’ computers.
6. Engaging in commercial activities not pre-authorized by NEXCOM International Co., Ltd..
7. Any other actions inconsistent with the intended purpose of the Website's services or deemed inappropriate by NEXCOM International Co., Ltd. for justifiable reasons.
VI. Transaction Conduct
1. When using the Website for transactions, members shall follow the mechanisms provided by NEXCOM International Co., Ltd. for confirming product quantities and prices.
2. Members agree that when ordering products through the Website, NEXCOM International Co., Ltd. reserves the right to refuse orders or cancel shipments prior to confirming shipment.
3. If a member arbitrarily returns or exchanges goods, cancels orders, or engages in any behavior deemed inappropriate by NEXCOM International Co., Ltd. that causes operational difficulties or damages to NEXCOM International Co., Ltd., NEXCOM International Co., Ltd. may, at its discretion, refuse transactions or permanently revoke the member’s membership.
4. When conducting transactions using the Website's services, members may exercise their rights in accordance with the Consumer Protection Act.
VII. Changes to Service Content and Sending Newsletters or E-DMs
1. Members agree that the scope of services provided by NEXCOM International Co., Ltd. may be adjusted, expanded, reduced, or terminated at NEXCOM International Co., Ltd.'s discretion based on business needs and actual circumstances, without the need to individually notify members.
2. Members agree that NEXCOM International Co., Ltd. may periodically send newsletters or product information (E-DMs) to the email address provided by the member. If a member indicates a refusal to receive marketing materials after receiving such messages, NEXCOM International Co., Ltd. will cease sending further marketing messages.
VIII. Service Suspension or Interruption
NEXCOM International Co., Ltd. will maintain the normal operation of the system and services using generally reasonable techniques and methods. However, NEXCOM International Co., Ltd. reserves the right to suspend or interrupt the Website's services under the following circumstances:
1. When necessary maintenance or construction is performed on the Website’s electronic communication equipment.
2. In the event of sudden failures of electronic communication equipment.
3. When the electronic communication services applied for by the Website are suspended, rendering service provision impossible.
4. When service provision is disrupted due to natural disasters or other force majeure events beyond the control of NEXCOM International Co., Ltd..
IX. Authorization to NEXCOM International Co., Ltd. by Members
1. For data uploaded, transmitted, entered, or provided by members through the Website, members agree that NEXCOM International Co., Ltd. may, within a reasonable scope, collect, process, store, transmit, and use such data to provide additional information or services to users, compile member statistics, conduct related behavioral research, or for any lawful purpose.
2. If a member does not have the legal right to authorize others to use, modify, reproduce, publicly broadcast, adapt, distribute, publish, or sublicense certain data, the member shall not upload, transmit, enter, or provide such data to NEXCOM International Co., Ltd. without authorization.
3. Once data is uploaded, transmitted, entered, or provided to NEXCOM International Co., Ltd. by a member, it shall be deemed that the member has unconditionally permitted NEXCOM International Co., Ltd. to use, modify, reproduce, publicly broadcast, adapt, distribute, publish, and sublicense such data, and NEXCOM International Co., Ltd. may further sublicense these rights to others, with no objections from the member. Members shall also warrant that NEXCOM International Co., Ltd.'s use, modification, reproduction, public broadcasting, adaptation, distribution, publication, or sublicensing of such data will not infringe upon the intellectual property rights of any third party; otherwise, the member shall be liable for damages to NEXCOM International Co., Ltd. (including but not limited to litigation costs and attorney fees).
X. Refusal or Termination of Member Use
Members agree that NEXCOM International Co., Ltd. may, for reasons including but not limited to lack of use or violation of the explicit provisions or spirit of these Terms of Service, terminate a member’s password, account (or any part thereof), or use of the services, and remove or delete any "member content" within the Website’s services, based on considerations of transaction security. Additionally, upon notification via the email provided by the member, NEXCOM International Co., Ltd. may terminate the Website’s services or any part thereof at any time. Members further agree that if the use of the Website’s services is terminated, NEXCOM International Co., Ltd. shall not be liable to the member or any third party.
XI. Limitation and Exclusion of Liability
1. The functions provided by NEXCOM International Co., Ltd. are offered "as is" at the time of use, and NEXCOM International Co., Ltd. does not assume any express or implied warranties regarding their performance, speed, completeness, reliability, security, or accuracy.
2. NEXCOM International Co., Ltd. strives to ensure that emails or content transmitted through the Website’s webpages, servers, domains, etc., are free from computer viruses or other harmful elements; however, it cannot guarantee that the transmission or storage of emails, files, or data will be error-free, uninterrupted, or without loss or mistakes. NEXCOM International Co., Ltd. shall not be liable for damages caused by the failure, loss, or errors in the transmission or storage of such emails, files, or data.
XII. Protection of Intellectual Property Rights
1. The software, programs, and all content on the Website used by NEXCOM International Co., Ltd., including but not limited to works, images, files, information, data, website structure, webpage layouts, and designs, are legally owned by NEXCOM International Co., Ltd. or other rights holders, with intellectual property rights including but not limited to trademark rights, patent rights, copyrights, trade secrets, and proprietary technologies. No one may use, modify, reproduce, publicly broadcast, adapt, distribute, publish, reverse-engineer, decompile, or disassemble them without authorization. If a member wishes to quote or republish the aforementioned software, programs, or website content, prior written consent must be obtained from NEXCOM International Co., Ltd. or the respective rights holder in accordance with the law.
2. Under the principle of respecting others’ intellectual property rights, members agree not to engage in any actions that infringe upon the intellectual property rights of others while using the Website of NEXCOM International Co., Ltd..
3. If a member is involved in any infringement, NEXCOM International Co., Ltd. may suspend all or part of the services or terminate the member’s account at its discretion, and may seek compensation for any resulting damages.
4. In case of intellectual property rights infringement, please provide details of the infringement and contact information, along with a truthful statement and proof of legitimate intellectual property ownership, and send it via email to: ecommerce@nexcom.com.tw to contact NEXCOM International Co., Ltd..
XIII. Governing Law and Jurisdiction
The interpretation and application of this agreement, as well as any disputes related to this agreement, shall be governed by the laws of the Taiwan, unless otherwise provided by law. Both parties agree that, unless otherwise stipulated by law, the district court located at the registered business address of NEXCOM International Co., Ltd. shall serve as the court of first instance with jurisdiction.
